Terms of Service

1. Acceptance of Terms

By accessing or using the Doc Custodian platform ("Service"), operated by Doc Custodian ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including individuals, organizations, and workspace members.

2. Description of Service

Doc Custodian is a cloud-based document management platform that provides:

  • Document storage, organization, and version control
  • Document extraction — converting PDFs, images, and scanned documents into structured text and Excel formats
  • AI-powered document analysis and summarization
  • Team collaboration with role-based access controls
  • Digital signature workflows
  • Audit trail and activity logging

3. Account Registration and Workspaces

To use the Service, you must create an account by authenticating through a supported identity provider (Google, Microsoft, or Auth0). Upon registration, you will create a workspace that serves as your organizational unit within the Service.

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information during registration.
  • Each user is limited to one workspace in the current version of the Service.
  • Workspace administrators are responsible for managing member access and permissions within their workspace.
  • You must promptly notify us of any unauthorized use of your account.

4. Subscription Plans and Payment

The Service is offered through paid subscription plans (Personal, Team, and Enterprise). All new workspaces begin with a 14-day trial period.

  • Trial Period: You receive a 14-day trial upon workspace creation. No credit card is required to start a trial.
  • Billing: Subscriptions are billed monthly or annually through Stripe, our third-party payment processor. By subscribing, you authorize recurring charges to your payment method.
  • Plan Changes: You may upgrade, downgrade, or cancel your subscription at any time through the billing portal. Changes take effect at the end of your current billing period.
  • Refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel, you will retain access through the end of your current billing period.
  • Price Changes: We may change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

5. User Content

You retain all ownership rights to the documents, files, and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service to you.

  • You are solely responsible for your User Content and ensuring you have the right to upload it.
  • We do not claim ownership of your User Content.
  • We will not access, use, or share your User Content except as necessary to provide and improve the Service, or as required by law.
  • Upon termination of your account, you may request export of your User Content. We will retain your data for a reasonable period to facilitate retrieval, after which it will be permanently deleted.

6. Acceptable Use

You agree not to use the Service to:

  • Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Violate any applicable laws, regulations, or third-party rights, including intellectual property rights.
  • Attempt to gain unauthorized access to the Service, other user accounts, or connected systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any purpose that competes directly with Doc Custodian.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Upload malicious code, viruses, or other harmful material.
  • Exceed documented usage limits or circumvent technical restrictions.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

7. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Doc Custodian and protected by intellectual property laws of the United States, Canada, and applicable international treaties. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8. Third-Party Services

The Service integrates with third-party services including identity providers (Google, Microsoft, Auth0), payment processing (Stripe), and cloud infrastructure (Microsoft Azure). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability or practices of third-party services.

9. Service Availability and Modifications

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We may modify, update, or discontinue features of the Service at any time. Material changes will be communicated with reasonable notice.
  • Scheduled maintenance windows will be communicated in advance when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOC CUSTODIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your specific requirements, that document extraction results will be error-free, or that the Service will be uninterrupted or secure.

12. Indemnification

You agree to indemnify and hold harmless Doc Custodian, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

  • You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.
  • We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 7, 10, 11, 12, and 14) will survive.

14. Governing Law and Dispute Resolution

For users in the United States, these Terms are governed by the laws of the state in which you reside, without regard to conflict of law principles, and applicable federal law. For users in Canada, these Terms are governed by the laws of the province in which you reside and applicable federal law.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (for U.S. users) or the ADR Institute of Canada (for Canadian users), except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and Doc Custodian.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
